These Terms of Service (the "Terms") govern your use of the website at www.emsmetrics.com (the "Site"), operated by EMS Metrics, LLC ("EMS Metrics," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site. The Site and our products are offered to EMS agencies in the United States, and we make no representation that the Site is appropriate or available for use elsewhere.
These Terms apply to the Site only. Use of the EMS Metrics software platform, including FireTower, its modules, and free trials (together, the "Platform"), is governed by the separate agreement between EMS Metrics and the customer agency, including any trial terms. If these Terms conflict with that agreement, the agreement controls for the Platform. The "Log In" link on the Site takes you to the Platform; Platform accounts and credentials are governed by the customer agreement.
You may use the Site for lawful purposes to learn about EMS Metrics, request a demo or trial, and read our published content. You agree not to:
Information on the Site about our products is provided for general informational purposes. Prices shown are our current list prices and are subject to change; the price that applies to a customer is the price in that customer's agreement or quote. Features described as "coming soon," "planned," "in testing," "early access," or with similar language are under development or evaluation, may change, and may never be released; descriptions of planned features are not commitments to deliver them on any schedule or at all. Integrations with third-party systems depend on those third parties and on the customer's own licenses with them, and their availability may change.
Free trials of FireTower Base (currently 30 days) are offered at our discretion, subject to separate terms, and may be modified, limited, or discontinued at any time.
The Site and its content, including text, graphics, logos, design, and software, are owned by EMS Metrics or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, revocable license to view and print pages from the Site for your own informational use. You may not copy, reproduce, republish, or distribute Site content for commercial purposes without our written permission. "EMS Metrics" and the EMS Metrics mark are trademarks of EMS Metrics, LLC.
ZOLL and emsCharts are trademarks of ZOLL Medical Corporation; HealthEMS is a trademark of its owner; Salesforce, Google, Facebook, LinkedIn, and Freshservice are trademarks of their respective owners. These names are used on the Site only to identify the third-party products and services with which our products work or that we use, and their use does not imply any affiliation with, or endorsement by, those companies.
Information you submit through the contact form is handled as described in our Privacy Policy. If you send us ideas, suggestions, or feedback about our products or the Site, you agree that we may use them without restriction or compensation to you.
Articles, guides, and checklists on the Site, including the EMS Rig Check Checklist, are general information intended as a starting point. They are not medical, legal, regulatory, or compliance advice, and they do not account for your state's requirements, your medical director's protocols, or your agency's equipment and scope of practice. You are responsible for adapting any checklist to your agency's requirements and for your agency's compliance with applicable laws and standards.
The Site links to third-party websites and services, including social media pages, our support portal, and Google reCAPTCHA. We do not control those sites and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms and policies.
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT SITE CONTENT IS COMPLETE, ACCURATE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, EMS METRICS AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY UNDER THE PLATFORM CUSTOMER AGREEMENT, WHICH CONTAINS ITS OWN TERMS.
You agree to defend, indemnify, and hold harmless EMS Metrics and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state courts located in Onondaga County, New York, or the federal courts for the Northern District of New York, and you consent to the personal jurisdiction of those courts.
We may change, suspend, or discontinue any part of the Site at any time. We may also revise these Terms; when we do, we will post the revised Terms on this page and update the "Last updated" date above. Your continued use of the Site after a change means you accept the revised Terms.
These Terms, together with the Privacy Policy, are the entire agreement between you and EMS Metrics regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
